VerityList Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and VerityList (“VerityList,” “we,” or “us”) that governs your access to and use of the veritylist.com website and services (the “Service”). By accessing the Service, submitting a listing, paying the listing fee, or contacting another user, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a company, you represent that you are authorized to bind that company to these Terms.

2. What VerityList is and is not

VerityList is a listing and introduction service. We provide a venue where sellers can list applications and buyers can express interest. We are not a party to, and do not participate in, any transaction between users. We are not a broker, dealer, agent, escrow service, financial institution, or fiduciary. We do not hold funds, guarantee any listing or user, verify every claim, or provide legal, tax, accounting, or financial advice. All negotiation, due diligence, contracts, payment, and transfer of any app, code, account, or asset occur directly between buyer and seller, at their own risk.

3. The listing review fee

Publishing a listing requires a one-time $5 review fee, charged through our payment processor. The fee pays for manual review of a single submission. It does not guarantee approval, publication, buyer interest, or a sale. Rejected submissions and duplicate charges are refunded. Once a listing is approved and published, the fee is non-refundable. A chargeback or payment dispute may result in the listing being unpublished and your access being suspended.

4. Seller representations and warranties

By submitting a listing, you represent and warrant that you own or are authorized to sell the app and all assets described; that the information you provide is accurate and not misleading; and that you have the right to transfer the app and to grant the rights described in these Terms. You will not upload credentials, API keys, customer personal data, malware, or any material you do not have the right to share.

5. Prohibited conduct

You will not use the Service to post false, fraudulent, infringing, or unlawful listings; to sell stolen, pirated, or malicious software; to harass or spam other users; to circumvent the listing fee, the review process, or the messaging system; to scrape, probe, or attack the Service; or to violate any applicable law or third-party right. We may reject, remove, unpublish, or refuse service to any listing or user that we judge, in our sole discretion, to be misleading, unlawful, unsafe, disputed, refunded, or in breach of these Terms.

6. Transactions are between users; assumption of risk

Any purchase, sale, or transfer arranged through the Service is solely between the buyer and the seller. You are responsible for your own due diligence on code, revenue claims, accounts, ownership, and transfer mechanics, and for your own contracts, payment terms, taxes, and regulatory compliance. You assume all risk arising from any transaction or communication with another user, and you release VerityList and its owner from any claim, demand, dispute, or damages arising between you and any other user.

7. Disclaimer of warranties

The Service and all listings and content are provided “as is” and “as available,” without warranty of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, VerityList disclaims all warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty regarding the accuracy, reliability, legality, or value of any listing, user, or transaction. We do not warrant that the Service will be uninterrupted, secure, or error-free.

8. Limitation of liability

To the fullest extent permitted by law, VerityList and its owner will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to the Service or any transaction between users, even if advised of the possibility. VerityList’s total aggregate liability for all claims relating to the Service will not exceed the greater of the total fees you paid to VerityList in the three months before the claim or one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

9. Indemnification

You will indemnify, defend, and hold harmless VerityList and its owner from and against any claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) arising out of your use of the Service, your listings or content, your transactions with other users, or your breach of these Terms or of any law or third-party right.

10. Intellectual property and your content

VerityList owns the Service, its software, design, and brand. You retain ownership of the content you submit, and you grant VerityList a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content as needed to operate and promote the Service. You are responsible for holding all rights to everything you submit.

11. Suspension and termination

We may suspend, remove, or terminate any listing, content, or user access at any time, with or without notice, including for suspected fraud, breach of these Terms, or legal risk. Provisions that by their nature should survive termination, including fees owed, disclaimers, limitation of liability, indemnification, and dispute resolution, survive.

12. Third-party services

The Service relies on third-party providers, including Stripe for payment processing. Your use of those services is subject to their own terms, and VerityList is not responsible for their acts or omissions.

13. Changes to these Terms

We may update these Terms from time to time. Material changes take effect when we post the updated Terms with a new effective date. Your continued use of the Service after changes take effect means you accept the updated Terms.

14. Binding arbitration and class-action waiver

Please read this section carefully; it affects how disputes are resolved. Except for a claim that qualifies for small-claims court, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration, administered under the rules of a recognized arbitration provider, seated in Texas, and governed by the Federal Arbitration Act. You and VerityList waive the right to a jury trial and agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any class or representative proceeding.

15. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Texas.

16. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. These Terms, together with the privacy notice, are the entire agreement between you and VerityList regarding the Service.

17. Contact

For billing help, a refund request, or a legal or privacy question, reply to any VerityList email you have received from us. A refund or payment dispute may cause an active listing to be unpublished, and we may preserve transaction and review records needed to resolve fraud, billing, or legal matters.
