VerityList Terms of Service
These Terms of Service (“Terms”) are a binding agreement between you and VerityList (“VerityList,” “we,” or “us”) that governs your access to and use of the veritylist.com website and services (the “Service”). By accessing the Service, submitting a listing, paying the listing fee, or contacting another user, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a company, you represent that you are authorized to bind that company to these Terms.
2. What VerityList Is and Is Not
VerityList is a listing and introduction service. We provide a venue where sellers can list applications and buyers can express interest. We are not a party to, and do not participate in, any transaction between users. We are not a broker, dealer, agent, escrow service, financial institution, or fiduciary. We do not hold funds, guarantee any listing or user, verify every claim, or provide legal, tax, accounting, or financial advice. All negotiation, due diligence, contracts, payment, and transfer of any app, code, account, or asset occur directly between buyer and seller, at their own risk.
3. The Listing Review Fee
Publishing a listing requires payment of a one-time, non-transferable review fee of $5 (the “Review Fee”), processed by our third-party payment processor. The Review Fee compensates VerityList for the manual review of a single submission and, if the submission is approved, for publication of the resulting listing for one Listing Term (as defined in Section 4). Payment of the Review Fee does not guarantee approval, publication, buyer interest, or a sale. If a submission is not approved, or if you are charged more than once for the same submission, the applicable Review Fee will be refunded. Once a listing has been approved and published, the Review Fee is fully earned and non-refundable, including where the listing expires without a sale, where you remove the listing before the end of its Listing Term, or where we remove the listing for a breach of these Terms. A chargeback or payment dispute may result in the listing being unpublished and your access to the Service being suspended.
4. Listing Term, Extension, Expiration, and Relisting
(a) Listing Term. Each approved listing will be published for 60 days beginning on the date of approval (the “Listing Term”).
(b) Expiration. Upon expiration of the Listing Term, the listing will be automatically unpublished and designated as expired, will no longer accept buyer inquiries, and its public page will indicate that it is no longer available. Except as provided in Section 4(c), the Listing Term will not be tolled, paused, or extended for any reason, including review time, interruptions of the Service, any period during which a listing is unpublished because of a payment dispute, or your failure to receive any notice. Any notice we send regarding the expiration of a listing is provided as a courtesy only, and expiration is not conditioned on your receipt of such notice.
(c) Free Extension. During the final 10 days of a Listing Term, you may extend a published listing through your listing page at no additional charge. Each extension starts a new Listing Term of 60 days beginning on the date you extend it. Extension is available only while the listing is published and you have a valid management link; a listing that has expired or been removed cannot be extended. An extension does not involve a new review and does not guarantee buyer interest or a sale.
(d) Relisting. To republish an expired listing, you must submit a new listing, which is subject to a new review and a new Review Fee.
(e) Early removal. You may remove a published listing at any time through your listing page. Removal takes effect immediately and cannot be reversed. We may unpublish a listing before the end of its Listing Term as described in Sections 7 and 13. No refund is owed when a listing is removed before the end of its Listing Term for any reason.
(f) Changes to the Listing Term or Review Fee. We may change the Listing Term or the Review Fee for future submissions. No such change will shorten a Listing Term already in effect.
(g) Unpaid submissions. Submissions for which the Review Fee has not been paid are deleted approximately seven (7) days after they are created.
5. Private Management Links and Service Communications
(a) Management Links. Following the submission of a listing, we will email you a private link through which you may view and manage that listing (a “Management Link”). For security purposes, Management Links expire periodically. While a paid listing is under review or published, we will provide a replacement Management Link, and any previously issued Management Link will cease to function.
(b) Your responsibility. Any person in possession of a Management Link can view and manage the associated listing, including by removing it. You are solely responsible for maintaining the confidentiality of your Management Link and for all actions taken through it. If you believe your Management Link has been disclosed to an unauthorized person, you must promptly replace or disable it through your listing page.
(c) Service communications. By submitting a listing, you consent to receive transactional and service-related communications regarding your submission, including payment reminders for unpaid submissions, replacement Management Links, expiration notices, and review determinations. If you provide your email address when starting a listing, you consent to receive up to three reminders to complete that listing. You may opt out of payment reminders and listing reminders at any time by using the link provided in any reminder.
6. Seller Representations and Warranties
By submitting a listing, you represent and warrant that you own or are authorized to sell the app and all assets described; that the information you provide is accurate and not misleading; and that you have the right to transfer the app and to grant the rights described in these Terms. You will not upload credentials, API keys, customer personal data, malware, or any material you do not have the right to share.
7. Prohibited Conduct
You will not use the Service to post false, fraudulent, infringing, or unlawful listings; to sell stolen, pirated, or malicious software; to harass or spam other users; to circumvent the listing fee, the review process, or the messaging system; to scrape, probe, or attack the Service; or to violate any applicable law or third-party right. We may reject, remove, unpublish, or refuse service to any listing or user that we judge, in our sole discretion, to be misleading, unlawful, unsafe, disputed, refunded, or in breach of these Terms.
8. Transactions Are Between Users; Assumption of Risk
Any purchase, sale, or transfer arranged through the Service is solely between the buyer and the seller. You are responsible for your own due diligence on code, revenue claims, accounts, ownership, and transfer mechanics, and for your own contracts, payment terms, taxes, and regulatory compliance. You assume all risk arising from any transaction or communication with another user, and you release VerityList and its owner from any claim, demand, dispute, or damages arising between you and any other user.
9. Disclaimer of Warranties
The Service and all listings and content are provided “as is” and “as available,” without warranty of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, VerityList disclaims all warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty regarding the accuracy, reliability, legality, or value of any listing, user, or transaction. We do not warrant that the Service will be uninterrupted, secure, or error-free.
10. Limitation of Liability
To the fullest extent permitted by law, VerityList and its owner will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to the Service or any transaction between users, even if advised of the possibility. VerityList’s total aggregate liability for all claims relating to the Service will not exceed the greater of the total fees you paid to VerityList in the three months before the claim or one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
11. Indemnification
You will indemnify, defend, and hold harmless VerityList and its owner from and against any claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) arising out of your use of the Service, your listings or content, your transactions with other users, or your breach of these Terms or of any law or third-party right.
12. Intellectual Property and Your Content
VerityList owns the Service, its software, design, and brand. You retain ownership of the content you submit, and you grant VerityList a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content as needed to operate and promote the Service. You are responsible for holding all rights to everything you submit.
13. Suspension and Termination
We may suspend, remove, or terminate any listing, content, or user access at any time, with or without notice, including for suspected fraud, breach of these Terms, or legal risk. Provisions that by their nature should survive termination, including fees owed, disclaimers, limitation of liability, indemnification, and dispute resolution, survive.
14. Third-Party Services
The Service relies on third-party providers, including Stripe for payment processing. Your use of those services is subject to their own terms, and VerityList is not responsible for their acts or omissions.
15. Changes to These Terms
We may update these Terms from time to time. Changes take effect when the updated Terms are posted on the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
16. Binding Arbitration and Class-Action Waiver
Please read this section carefully; it affects how disputes are resolved. Except for a claim that qualifies for small-claims court, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration, administered under the rules of a recognized arbitration provider, seated in Texas, and governed by the Federal Arbitration Act. You and VerityList waive the right to a jury trial and agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any class or representative proceeding.
17. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Texas.
18. Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. These Terms, together with the privacy notice, are the entire agreement between you and VerityList regarding the Service.
19. Contact
For billing help, a refund request, or a legal or privacy question, reply to any VerityList email you have received from us. A refund or payment dispute may cause an active listing to be unpublished, and we may preserve transaction and review records needed to resolve fraud, billing, or legal matters.
